Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided at and through runechelon.com and related domains, applications, and services (collectively, the "Service") operated by runechelon.com ("Echelon", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Section 1

Eligibility and accounts

  • You must be at least 18 years old to use the Service.
  • If you create an account, you agree to provide accurate and complete information and to keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
  • If you believe your account has been compromised, you must notify us promptly at support@runechelon.com.

Section 2

Use of the service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

You agree that you will not:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Access or use the Service to build a competing product or service or to reverse engineer, decompile, or otherwise attempt to extract source code or underlying ideas;
  • Interfere with or disrupt the operation of the Service, including by overloading, spamming, or attempting to bypass rate limits or security measures;
  • Misrepresent your identity or affiliation with any person or entity;
  • Use the Service to upload or transmit any viruses, malicious code, or other harmful content.

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms or are using the Service in a way that could cause harm to us, our infrastructure, or other users.

Section 3

User content

You may submit, upload, or otherwise provide data, prompts, text, files, or other content ("User Content") to or through the Service.

You retain any ownership rights you have in your User Content. By providing User Content to the Service, you grant Echelon a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and create derivative works from your User Content as necessary to operate, improve, and provide the Service.

You are responsible for your User Content and represent and warrant that you have all rights necessary to provide it to us and to grant the rights described in these Terms.

You agree that you will not provide User Content that:

  • Infringes or violates the intellectual property, privacy, or other rights of any third party;
  • Contains unlawful, defamatory, harassing, fraudulent, or otherwise objectionable material;
  • Contains personal data that you are not legally permitted to share.

We may, but are not obligated to, remove or disable access to any User Content that we believe violates these Terms.

AI and automation outputs

The Service may generate content, suggestions, or actions using artificial intelligence and automation ("Outputs") based on your inputs and other data sources.

  • Outputs are generated automatically and may be inaccurate, incomplete, or inappropriate for your specific use case.
  • You are solely responsible for reviewing, evaluating, and deciding how to use any Outputs in your business or personal context.
  • Echelon does not guarantee any specific results or outcomes from the use of the Service or any Outputs, including financial or campaign performance.

You agree not to rely on the Service or Outputs as a substitute for your own judgment, expertise, or independent verification, especially in regulated or high-risk domains.

Privacy

Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.

Section 6

Intellectual property

The Service, including all software, code, text, visual interfaces, graphics, trademarks, logos, and other content (excluding your User Content), is owned by or licensed to Echelon and is protected by intellectual property and other laws.

Except for the limited rights expressly granted to you in these Terms, we reserve all rights in and to the Service. You may not copy, modify, distribute, sell, or lease any part of the Service or reverse engineer or attempt to extract the source code, except as permitted by law.

Beta features and changes to the service

Echelon is an early-stage, rapidly evolving service and may offer features labeled as alpha, beta, or experimental.

  • Beta or experimental features may be changed, suspended, or discontinued at any time without notice.
  • We may modify the Service, add or remove features, or impose new limits at any time.

We will use reasonable efforts to avoid materially adverse changes without notice, but we are not obligated to maintain any particular feature or functionality.

Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ECHELON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY OUTPUTS OR RESULTS WILL BE ACCURATE, RELIABLE, OR MEET YOUR REQUIREMENTS.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ECHELON AND ITS FOUNDERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ECHELON'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ECHELON FOR THE SERVICE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Section 10

Indemnification

You agree to indemnify, defend, and hold harmless Echelon and its founders, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service;
  • Your User Content;
  • Your violation of these Terms; or
  • Your violation of any applicable law or the rights of any third party.

Section 11

Third-party services

The Service may integrate with or link to third-party services, platforms, or tools.

We do not control and are not responsible for any third-party services, and your use of them is subject to their own terms and policies. We are not liable for any damages or losses arising from your use of third-party services.

Section 12

Modifications to these terms

We may update these Terms from time to time.

If we make material changes, we will provide notice by updating the "Last updated" date at the top of these Terms and, where appropriate, by providing additional notice (such as on the Service or by email).

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

Section 13

Termination

You may stop using the Service at any time.

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, are causing harm, or for any other reason in our discretion.

Upon termination, your right to use the Service will immediately cease. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnity) will continue to apply.

Section 14

Governing law; dispute resolution

These Terms and any dispute arising out of or relating to them or the Service will be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you and Echelon consent to the personal jurisdiction and venue of such courts.

Section 15

Miscellaneous

These Terms constitute the entire agreement between you and Echelon regarding the Service and supersede any prior or contemporaneous agreements on that subject.

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

You may not assign or transfer these Terms or your rights or obligations under them without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, corporate reorganization, or sale of assets.

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
